These Terms & Conditions govern access to and use of the RES Table Ordering websites, Clover application and related services provided by DHM GLONEX LLC ("RES," "we," "us," or "our"). By installing, accessing or using the service, the merchant or authorized user agrees to these terms.
Eligibility and authority
You must be legally able to enter a binding agreement and, when acting for a business, authorized to bind that business. Merchant administrators are responsible for staff accounts, roles and configurations.
The service
RES provides restaurant-ordering and operations tools that may include guest ordering, staff workflows, kitchen tickets, status displays, menu administration, Clover integration and merchant-configured payment routing. Available features depend on the subscription, region, device, merchant account and third-party approvals.
Clover and third-party services
Clover, payment processing, hosting and other integrations are provided by third parties under separate agreements. Clover is a trademark of Clover Network, LLC. RES is an independent application and is not responsible for third-party outages, account restrictions, underwriting decisions, payment disputes or changes to third-party services.
Merchant responsibilities
- Provide accurate account and business information.
- Maintain secure credentials and promptly disable unauthorized users.
- Configure menus, taxes, prices, modifiers, staff permissions and payment routes accurately.
- Comply with payment, privacy, accessibility, consumer-protection, employment, food-service and other applicable laws.
- Obtain required notices and consents for guest and employee data.
- Review orders and payment outcomes before fulfillment or settlement.
Payments
Payment availability depends on merchant eligibility and configuration. Payment processors, including Clover where applicable, control authorization, settlement, chargebacks, refunds and card-data handling. RES may display or store transaction references and status but does not guarantee that a payment will be approved or settled.
Acceptable use
You may not misuse the service; interfere with security; attempt unauthorized access; reverse engineer except where law permits; upload malicious content; violate third-party rights; or use the service for unlawful, deceptive or abusive activity.
Intellectual property
RES and its licensors retain ownership of the service, software, design and documentation. Merchants retain rights in their menu, brand and business content and grant RES a limited license to host and process that content to provide the service.
Availability and changes
We work to provide reliable service but do not guarantee uninterrupted operation. We may update features for security, compatibility, legal or operational reasons. Planned changes that materially affect merchants will be communicated when reasonably practicable.
Fees, suspension and termination
Any fees are governed by the merchant order, subscription or App Market terms. We may suspend or terminate access for material breach, security risk, nonpayment or legal requirement. Merchants may discontinue use and disconnect applicable integrations. Sections that by nature should survive will remain effective.
Disclaimers
To the maximum extent permitted by law, the service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant specific revenue, ticket-size, staffing or operational results.
Limitation of liability
To the maximum extent permitted by law, DHM GLONEX LLC will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, lost profits, lost data or business interruption. Aggregate liability arising from the service will not exceed amounts paid to RES for the affected service during the twelve months before the event giving rise to the claim, except where limitation is prohibited by law.
Indemnification
The merchant agrees to defend and indemnify DHM GLONEX LLC from third-party claims arising from merchant content, configuration, unlawful use, violation of law or breach of these terms, to the extent permitted by law.
Governing law
These terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-law rules. Courts located in Georgia will have jurisdiction unless applicable law requires otherwise.
